Corporate governance
Scandi Standard is a Swedish public limited liability company and its shares are listed on Nasdaq Stockholm under the ticker SCST.
Scandi Standard applies the rules of the Swedish Companies Act (Sw.aktiebolagslagen), the Swedish Annual Accounts Act (Sw. årsredovisningslagen ), the company’s articles of association, Nasdaq Stockholm’s Rule Book for Issuers and the Swedish Corporate Governance Code (the “Code”) as well as other Swedish and foreign laws and regulations, as applicable.
The Code defines a norm for good corporate governance in addition to the Swedish Companies Act and other regulations and it aims to improve the confidence in Swedish listed companies by promoting a positive development of corporate governance in these companies.
The Code is based on the principle of “comply or explain”. This means that Scandi Standard is not obliged to comply with every rule in the Code at all times, but may choose alternative solutions which are deemed to better suit to particular circumstances in each case, provided that the company openly reports every deviation, describes the alternative solution and explains the reasons for doing so. If Scandi Standard decides to deviate from any rule of the Code, this will be explained in the company’s corporate governance report.
